Reporting to: Chair of Trustees
Main purpose
To provide a professional, efficient and comprehensive clerking service to the Board of Trustees within a Single Academy Trust, ensuring full compliance with statutory and regulatory requirements, including the Academy Trust Handbook and relevant education legislation. The postholder will support Trustees, Members and Senior Leadership in delivering effective governance, enabling robust strategic oversight and informed decision-making.
Working closely with Board of Trustees that hold significant strategic responsibility, the Clerk will ensure the smooth running of all governance processes, including the accurate preparation of agendas, minutes and documentation, and the maintenance of statutory records. The role requires a high level of attention to detail, strong organisational skills and the ability to provide proactive governance advice.
The Clerk will demonstrate absolute commitment to confidentiality, integrity and impartiality, supporting the Trust in upholding the highest standards of accountability and transparency in line with expectations for academy governance.
Duties and responsibilities
Knowledge and understanding
The governance professional (clerk) will:
Ø Know the features of effective governance, and the board’s governance structure and core functions
Ø Understand their role as set out in the trust’s articles of association
Ø Understand key national education policies and the local education context in which the board is operating
Ø Know the board’s duties under legislation and statutory guidance
Ø Understand the importance of the board adhering to and promoting the School’s internal procedures
Ø Understand the School’s governance structure, including legal structure and constitution
Ø Understand the principles of records management and have working knowledge of the Data Protection Act and the Freedom of Information Act
Ø Understand the board’s accountability to and relationship with other bodies
Ø Know the board’s code of conduct and strategic priorities
Ø Understand the School’s culture, values and ethos
Ø Know which information about student performance and financial management will be used by the board to hold leaders to account
Ø Know the requirements of charity and company law
Ø Know the trust’s funding agreement(s) and articles of association
Administration
Ø Check that meetings are quorate, and if not, provide appropriate advice on how to proceed
Ø Establish and maintain efficient procedures for meetings, sharing documents in a timely manner
Ø Promote the use of project management tools (including risk registers) to support the chair
Ø Make sure that board papers are clear and accurate, and that minutes capture discussion points and actions
Ø Challenge the board if meetings are not conducted in a proper or orderly manner
Ø Support the chair in identifying priorities and upcoming issues when planning meetings
Ø Evaluate administrative procedures to ensure effectiveness, and adapting these where necessary
Ø Prepare thoroughly for meetings and ensure that outstanding action points are acted on
Ø Maintain or help maintain accurate registers (e.g. register of interests)
Ø Establish and administer procedures for filling vacancies on the board
Ø Keep a record of Trustees’ attendance
Ø Understand the principles of confidentiality and apply this to their own work and that of the board
Ø Have an eye for detail and excellent proofreading skills
Ø Use technology effectively to streamline the board’s processes
Ø Communicate information clearly, logically and impartially by using a range of presentation methods as appropriate
Ø Have a systematic approach to managing documentation and other records that meets legal requirements for records management
Ø Have excellent time management skills
Ø Remain calm and maintain a high standard of work under pressure
Advice and guidance
Ø Provide appropriate information for the board and check the credibility of sources
Ø Update the board on changes to legal or statutory requirements
Ø Access third-party guidance on behalf of the board where necessary
Ø Inform the board about training and development opportunities
Ø Provide clear, logical and impartial advice to the board
Ø Clearly explain difficult concepts, including information on the board’s legal duties
Ø Understand the principles of conflicts of interest, and is able to advise the board on managing and avoiding these
Ø Understand how and when to escalate concerns where there is non-compliance or suspected misconduct
Ø Speak out where the board is overstepping its strategic role or is not following the code of conduct
People and relationships
Ø Build effective professional relationships with the board, external contacts and others
Ø Use appropriate influencing skills to gain the board’s confidence
Ø Establish effective channels of communication with the board, the wider school and any external contacts and partners
Ø Contribute to discussions about the design of governance committees and structures
Ø Advise the board when Trustees’ terms of office end, and assess the effect this will have on the board’s skills mix
Ø Establish and facilitate transparent procedures to fill vacancies
Ø Help the board to create a culture in which challenge is welcomed
Ø Support the board when carrying out self-evaluation exercises
Ø Remain committed to improving own performance and that of others involved in governance, taking advantage of opportunities to attend training and development

We are based in the heart of Caistor, a market town standing on the edge of the Lincolnshire Wolds. Lincoln is 24 miles to the south and Grimsby 12 miles to the east. To the north, over the Humber Bridge, Hull is about 30 minutes from here and major cities like Doncaster, Sheffield and Leeds can be reached easily within an hour and a half along the M180 motorway. Property prices are very reasonable compared to other parts of the country, while to the east you can enjoy the delights of the coast in resorts to suit everyone’s tastes.
The School is a special, unique place. All staff, teaching, administration and support, work hard to ensure that our students receive the best education possible. We number approximately 690 students, including 180 in the Sixth Form. We are also proud to be a single academy trust with a very supportive parental and governing body. We are keen to maintain our independence.
The School was founded in 1631 and the original school room is still in use. Most of our work, however, is done in buildings which were substantially remodelled and extended in the very recent past. In 2005, our Manning Building was extensively re-modelled to provide improved accommodation for Modern Languages, PE and History. We also gained an all-weather pitch and a new sports pavilion. The School has a new Food Technology Room, new Music facilities and we have extended our science provision creating the Olympic Torch Building for the teaching of Physics in 2014. Last summer our dining hall was expanded and remodelled. We have just submitted an ambitious £1.2m bid to create a new library and a multi-use performance facility.
We have been actively involved in a number of partnerships with other Lincolnshire Schools and local businesses. We are a selective school drawing our pupils from the upper 25% of the ability range. All our sixth formers are working for three or four A-levels and nearly all go on to either employment, apprenticeships and higher education, including Oxbridge and Russell Group universities. Our students are well motivated and, to quote our last inspection, ‘relish their learning.’ The atmosphere of the School is friendly, purposeful and inclusive. Colleagues are encouraged to develop their own skills and abilities in a supportive environment.
